These Service Terms apply to services provided by SkyCloud Digital Systems LLC (“SkyCloud Digital,” “SkyCloud,” “we,” or “us”).
By approving a quote, signing a service agreement, submitting payment, or authorizing SkyCloud Digital to begin work, the customer agrees to these Service Terms and the applicable quote, proposal, or statement of work.
SkyCloud Digital provides digital workspace design, deployment, configuration, content development, collaboration systems, private-platform services, technical guidance, training, maintenance, monitoring, backup oversight, and related digital services.
The specific services, deliverables, prices, and schedules for each engagement will be identified in the applicable quote, proposal, or statement of work.
Services or deliverables not expressly included in the approved scope are considered additional work and may require written authorization and additional charges.
Unless otherwise stated, quotes are valid for 30 days from the date issued.
A quote is considered accepted when the customer approves it electronically, signs it, submits required payment, or otherwise authorizes SkyCloud Digital to begin work.
If there is a conflict between these Service Terms and an approved written quote or service agreement, the approved written agreement will control.
Deposits, payment schedules, recurring charges, and due dates will be identified in the applicable quote or invoice.
Unless otherwise stated:
Failure to pay an undisputed balance may result in suspension of nonessential services after reasonable notice.
The customer agrees to:
Delays caused by missing information, unavailable equipment, or delayed approvals may affect project schedules.
Unless specifically included in writing, SkyCloud Digital does not provide physical hardware.
Customers are responsible for their computers, devices, displays, servers, networking equipment, electrical service, internet service, and other customer-owned infrastructure.
Third-party software, hosting providers, domain registrars, internet providers, and external platforms remain subject to their own terms and limitations.
Customers retain ownership of their organizational data, files, branding, and materials supplied to SkyCloud Digital.
SkyCloud Digital retains ownership of its internal methods, templates, tools, systems, and reusable components.
Support coverage depends on the selected service plan.
Support does not include unlimited development, major redesigns, hardware repair, electrical work, or services outside the approved scope unless stated otherwise.
When backup oversight is included, SkyCloud Digital will configure or monitor backup procedures according to the approved scope.
No backup system eliminates every possibility of data loss. Customers should maintain records appropriate for their operational needs.
SkyCloud Digital uses reasonable measures to protect customer information entrusted to it.
Customers remain responsible for user access management, password security, and reporting suspected unauthorized access.
SkyCloud Digital performs services professionally and in good faith but does not guarantee specific financial, marketing, attendance, fundraising, or business outcomes.
Unless otherwise agreed in writing, these Service Terms are governed by the laws of the State of Maryland.
